Services may be modified, added, or discontinued without prior notice.

4. Payment Terms

  • Project initiation requires 50% to 100% advance depending on the service type.
  • Accepted payment methods include credit/debit cards, UPI, PayPal, bank transfers, and other modes shown on the invoice.
  • Remaining payments (if any) are due upon project completion and before final delivery.
  • Late payments may incur interest or suspension of services.

5. Revisions and Feedback

  • We offer up to 2–3 free revision cycles (varies by project scope).
  • Additional revisions or out-of-scope changes are billable.
  • All feedback and changes should be provided in writing within the review period stated in your agreement.

6. Delivery Timelines

  • Timelines are provided during project planning.
  • Delays from the client (late content, delayed feedback) may impact delivery without penalty to Codendesignz.

7. Intellectual Property and Ownership

  • We retain full ownership of any unpaid or partially paid work.
  • Once full payment is received, clients receive a perpetual, non-exclusive license to use the delivered material.
  • Unless a formal transfer is documented, Codendesignz reserves rights to showcase work in our portfolio.

8. Client Responsibilities

  • Provide accurate project brief and required content
  • Respond promptly to communication and approvals
  • Avoid abusive or harassing communication toward staff

9. Use of Website

Users agree not to:

  • Use our content without permission
  • Attempt to breach the website’s security
  • Use bots, scrapers, or automated tools to extract data

10. Confidentiality

Both parties agree to keep all confidential information (such as internal documents, brand strategy, or login credentials) private during and after the project.

11. Termination of Services

We reserve the right to terminate services or suspend accounts:

  • If terms are violated
  • Due to non-payment
  • If offensive, illegal, or unethical requests are made

Clients may terminate a project by written notice. Any work completed until the date of termination will be billable.

  • We do not guarantee traffic, revenue, or business results unless explicitly stated in the agreement.

13. Limitation of Liability

To the fullest extent permitted by law:

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of New York. Any dispute shall be settled in the courts located in Auburn, NY.
